Board Minutes Appointment New Trustee of CCLBG (Identity Verification Compliant) 
The first charity trustees/directors (Trustees) of a charitable company limited by guarantee (Company) are appointed as part of the registration and incorporation process of the Company.
Thereafter the appointment of Trustees is usually covered by the Company's articles of association as the Companies Act 2006 is largely silent on the procedure. If the Company’s articles permit it, most Companies will choose to appoint additional Trustees by board meeting. The Charity Articles of Association-Private Company Limited By Guarantee permit it (See Article 21.1).
This board minutes template can be used to record the minutes of a board meeting where the Trustees resolve to appoint one, two or more new Trustees to the Company at that board meeting.
This template includes provisions allowing for the introduction of the identity verification (IDV) regime under the Economic Crime & Corporate Transparency Act 2023 (ECCTA).
The introduction of IDV is one of the key changes to UK company law. To comply with the provisions of the ECCTA, Trustees need to be ID verified to act and there will be potential civil and criminal penalties for failure to do so. The IDV is mandatory from 18 November 2025. IDV applies to Trustees irrespective of their nationality or where they are resident.
The ECCTA gives Companies House new and enhanced powers to help disrupt economic crime and the IDV regime is a key component of this.
Following full implementation of the ECCTA, it is no longer possible after 18 November 2025 to register an appointment of a Trustee at Companies House or for that Trustee to act, until they have been ID verified.
